Terms of service

These Terms of Service ("Terms") govern access to and use of the ExtendAssure app (the "App") and the ExtendAssure.com claims portal (together, the "Service"), provided by ExtendAssure LLC ("ExtendAssure," "we," "us"). By installing the App or using the Service, you agree to these Terms on behalf of yourself and the Shopify store you represent ("Merchant," "you").

These Terms govern the software and service ExtendAssure provides to Merchants. They are separate from the ExtendAssure Extended Warranty Agreement, which is the coverage contract between ExtendAssure and the individual Shopper who purchases a warranty, and which is presented to Shoppers at the point of purchase.

1. THE SERVICE

ExtendAssure lets a Merchant offer extended warranty coverage on eligible products in their Shopify store. The App displays warranty options to the Merchant's customers at the product and cart level, and ExtendAssure administers the resulting coverage, including handling claims submitted by Shoppers. Some features (such as theme blocks, app embeds, and checkout rules) require manual setup by the Merchant in their Shopify admin -- the App's onboarding checklist describes what's required.

2. ELIGIBILITY AND YOUR ACCOUNT

You must have the authority to install apps on the Shopify store you're connecting, and that store must be in good standing with Shopify. You're responsible for all activity that occurs through your store's connection to the App, and for keeping your Shopify account credentials secure.

3. FEES AND BILLING

ExtendAssure charges Merchants a usage-based fee on warranties sold through the App, billed through Shopify's Billing API in accordance with the pricing presented to you at setup. By enabling warranties, you authorize these charges. If a covered order is refunded, ExtendAssure credits back its corresponding share through the same billing mechanism, as described in the App. Shopify's own terms and payment processing also apply to any charges made through Shopify.

We may change our fees prospectively; continued use of the Service after a fee change takes effect constitutes acceptance of the new fees.

4. MERCHANT RESPONSIBILITIES

As a Merchant using the Service, you agree to:

- Accurately represent your store's product category and warranty pricing settings, since these drive the coverage and pricing shown to your customers.
- Complete the required storefront setup (theme block placement, app embed, checkout protection rule) so warranty terms are accurately disclosed to Shoppers before purchase, and not to alter or obscure the warranty disclosure or agreement shown to customers.
- Not delete, disable, or interfere with the "ExtendAssure Warranty" product that the App automatically creates in your store -- it's required infrastructure for warranty coverage to function correctly.
- Comply with all laws applicable to your business, including any laws governing the sale of extended warranties or service contracts in the jurisdictions where you sell. Extended warranty and service contract sales are regulated in many jurisdictions, and you are responsible for determining what, if anything, that means for your store.
- Not use the Service in a way that is fraudulent, deceptive, or that misrepresents the coverage being sold.

5. OUR RESPONSIBILITIES

ExtendAssure is responsible for administering the coverage sold through the App in accordance with the Extended Warranty Agreement presented to each Shopper, including processing claims submitted by Shoppers. We'll make reasonable efforts to keep the Service available and functioning as described, but see the disclaimers below.

6. INTELLECTUAL PROPERTY

ExtendAssure and its licensors retain all rights, title, and interest in the App, the Service, and all related content, branding, and technology. These Terms don't grant you any rights to our trademarks or branding except as needed to display the warranty options through the App as intended.

7. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THIS SECTION CONCERNS THE SOFTWARE SERVICE ITSELF, NOT THE WARRANTY COVERAGE SOLD TO SHOPPERS, WHICH IS GOVERNED SEPARATELY BY THE EXTENDED WARRANTY AGREEMENT.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXTENDASSURE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO EXTENDASSURE IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

9. INDEMNIFICATION

You agree to indemnify and hold ExtendAssure harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Service, or your violation of applicable law.

10. TERM AND TERMINATION

You may stop using the Service at any time by uninstalling the App. We may suspend or terminate your access to the Service if you breach these Terms or if required to comply with law. Note that uninstalling the App does not automatically remove the "ExtendAssure Warranty" product or other setup from your store -- see the App's onboarding guide for details, and Section 5 of our Privacy Policy for how your store's data is handled after uninstall.

11. CHANGES TO THESE TERMS

We may update these Terms from time to time. If we make material changes, we'll provide notice (such as an in-app notice or email) before the changes take effect. Continued use of the Service after that constitutes acceptance.

12. GOVERNING LAW

These Terms are governed by the laws of Idaho, without regard to its conflict of laws principles, and any dispute arising from these Terms will be resolved in the courts located in Idaho.

13. GENERAL

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy and the Extended Warranty Agreement, are the entire agreement between you and ExtendAssure regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
